OVER DEZE AFLEVERING
In this episode, Jonathan Farber interviews Eugene Trowbridge on his road from small time rental investor to managing syndications for more than 1000 investors to becoming a securities lawyer. Eugene is a real estate attorney with an extensive background as a syndicator, based in Orange County, California, but working across the country. In this episode, we dive into topics like: syndication law learning, regulation D, joint ventures, and more!
Top Takeaways:
Lessons from syndication law - 17:30 - 22:45
- Go to an attorney once you have a letter of intent - nonbinding commitment to transact
- Always include a second partner in the management entity
- What happens if something happens to you?
Understanding Regulation D - 23:45 - 31:45
- Regulation D is by far the most common way to raise money in private placement
- Regulation D is a carveout that exempts a deal from SEC approval
- Under Regulation D new investors primarily use their personal contacts and network
- Without advertising, some information can be divulged to raise investment enthusiasm
Understanding joint ventures - 32:00 - 34:00
- A joint venture is one way of bringing people together for real estate
- General partnerships are still syndications unless there are only active investors
- Limited partnerships are automatically syndications because of passive investors
